PAYMENT TERMS 2.1 Invoices are due within 14 days from invoice date. 2.2 All fees are quoted and payable in USD unless otherwise agreed in writing. 2.3 Overdue invoices will accrue a late payment fee of 1.5% per month on the outstanding balance, compounding monthly. 2.4 WriterTools reserves the right to suspend or withhold work and deliverables until all outstanding invoices are settled. 2.5 Deposits (where applicable) are non-refundable once work has commenced. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 3. REVISIONS & SCOPE Up to 2 rounds of revisions are included per deliverable. Additional revisions will be billed at the standard hourly rate. INTELLECTUAL PROPERTY 4.1 All intellectual property rights in the deliverables will transfer to the client upon receipt of full payment. 4.2 Until full payment is received, all work remains the intellectual property of Nathan Ojaokomo. 4.3 Nathan Ojaokomo reserves the right to display completed work as part of their professional portfolio and case studies, unless the client requests confidentiality in writing before the project begins. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 5. CONFIDENTIALITY Both parties agree to keep confidential any proprietary, sensitive, or commercially sensitive information shared during the course of an engagement, and not to disclose it to any third party without prior written consent. TERMINATION 6.1 Either party may terminate an engagement with 7 days' written notice. 6.2 If the client terminates after work has commenced, all work completed to date will be invoiced and payment is due within 14 days. Any deposit paid is non-refundable. 6.3 If WriterTools terminates, all completed work will be delivered to the client, who will be charged only for work done to that point. 6.4 WriterTools may terminate immediately and without notice if the client breaches these Terms, engages in unlawful conduct, or fails to pay outstanding invoices. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 7.
